Terms of
Engagement.
Governing terms for all audit engagements with Observer LLC. Effective from the date of the signed service agreement.
1. Engagement Scope
The scope of each audit engagement is defined in a separate Scope Document countersigned by both parties prior to commencement of any review. No work outside the defined scope is included in the fixed fee. Any scope changes require written agreement from both parties.
2. Deliverables
Observer LLC will deliver a full audit report, executive summary, and one round of remediation review as described in the Scope Document. A signed attestation letter will be issued upon completion of remediation review. Deliverables are provided in PDF and Markdown formats unless otherwise agreed.
3. Fees and Payment
Fees are fixed per engagement as stated in the Scope Document. Payment is due in full prior to commencement of any work. We accept cryptocurrency payments via shaka.deal — a payment link is issued upon agreement. All fees are non-refundable once work has commenced.
4. Confidentiality
Observer LLC treats all client information, codebase contents, and engagement details as confidential. We will not disclose any information about an engagement without the client written consent, except as required by law.
5. No Warranty
An audit report represents our professional assessment of the codebase as it existed at the time of review. Observer LLC does not warrant that the codebase is free of all vulnerabilities, or that the protocol will not be exploited after deployment. Our attestation confirms review was conducted, not that the system is invulnerable.
6. Remediation
One round of remediation review is included in every engagement. Observer LLC is not responsible for new vulnerabilities introduced during remediation.
7. Intellectual Property
The final audit report is the property of the client upon full payment. Observer LLC retains the right to use anonymized findings for research and educational purposes.
8. Limitation of Liability
Observer LLC total liability arising from any engagement shall not exceed the total fees paid for that engagement. We shall not be liable for any indirect, consequential, or incidental damages.
9. Governing Law
These terms shall be interpreted in accordance with applicable law. Disputes shall be resolved through binding arbitration before litigation is pursued.
